TERMS OF SERVICE

Please read these Terms of Service carefully before using the Rightpay Express platform, website or mobile application. By using our Services, you agree to be bound by these terms.

Section 01

Introduction & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you" or "your") and Shop Rightepay Corporation Limited (CIN: U45400WB2011PLC161876), a public limited company incorporated under the laws of India, having its registered office at Right Pay Shop, Netaji Street, Uttarpara, Gopalpur, Durgapur, West Bengal — 713212 ("Company," "we," "us," or "our").

These Terms govern your access to and use of our website at rightpayshop.com, the Rightpay Express mobile application, our physical retail stores, franchise enquiry services, and all associated features, content and services (collectively, the "Services").

By accessing or using any part of our Services, you agree that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease using our Services.

These Terms are governed by the laws of India, including but not limited to the Consumer Protection Act, 2019, the Information Technology Act, 2000, the Contract Act, 1872, and applicable e-commerce regulations.
Section 02

Definitions

  • "Platform" means the website rightpayshop.com and the Rightpay Express mobile application collectively.
  • "Services" means all products, services, features and functionalities offered by us through the Platform or our physical stores.
  • "User Account" means the account created by a User upon registration on the Platform.
  • "Order" means a request placed by a User to purchase one or more Products through the Platform.
  • "Products" means all grocery, FMCG, household, apparel and other goods listed for sale on the Platform.
  • "Franchisee" means a person or entity who has entered into a valid franchise agreement with the Company to operate a Right Pay Shop outlet.
  • "Rider" means a delivery partner engaged to fulfil last-mile delivery of Orders.
  • "Content" means all text, images, videos, audio, software, trademarks and other materials available through the Platform.
Section 03

Eligibility

To use our Services, you must:

  • Be at least 18 years of age;
  • Have the legal capacity to enter into a binding contract under Indian law;
  • Not be a person previously suspended or removed from our Platform;
  • Provide accurate, current and complete registration information;
  • Be a resident of or operating within India.

By using our Services, you represent and warrant that you meet all eligibility requirements. If you are accessing the Platform on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

Section 04

User Accounts & Security

To access certain features of our Platform (including placing orders and tracking deliveries), you may be required to create a User Account. When registering:

  • You must provide accurate and truthful information including your name, email address, mobile number and delivery address.
  • You are responsible for maintaining the confidentiality of your account credentials (username, password and OTP).
  • You agree to notify us immediately at support@rightpayshop.com of any unauthorised use of your account or any security breach.
  • You accept full responsibility for all activities that occur under your account.
  • You must not create multiple accounts to circumvent any restrictions or policies.

We reserve the right to suspend or permanently deactivate your account at our sole discretion if you violate these Terms, provide false information, or engage in fraudulent activity.

Section 05

Products, Services & Pricing

All Products listed on the Platform are subject to availability and may be withdrawn or modified without notice. We make reasonable efforts to display accurate product images, descriptions and pricing, but we do not warrant that such information is error-free.

5.1 Pricing

  • All prices are inclusive of applicable taxes unless otherwise stated.
  • Where Products are subject to Maximum Retail Price (MRP) under Indian law, the price charged shall not exceed the applicable MRP.
  • Prices may vary by location and are subject to change without prior notice.
  • We do not apply surge pricing. Special discounts, flash offers and promotions are applied for the stated duration only.

5.2 Product Descriptions

We make reasonable efforts to ensure product descriptions, weight, quantity and images are accurate. Minor variations may occur due to display settings or batch variations. We are not liable for minor discrepancies between displayed and actual product appearance.

5.3 Availability

Products are subject to availability at the nearest fulfilling store. In the event a product is unavailable after an order is placed, we will notify you and provide a full refund for the unavailable item(s) within the applicable timeframe.

Section 06

Orders & Payment

6.1 Order Placement

By placing an Order, you make a binding offer to purchase the selected Products at the stated price. An Order is confirmed only when you receive an order confirmation notification via the app, SMS or email.

6.2 Payment Methods

  • UPI (Unified Payments Interface) — all major UPI apps supported
  • Digital wallets integrated with the Platform
  • Cash on Delivery (COD) — available for eligible orders and locations

All online payments are processed through PCI-DSS compliant third-party payment gateways. We do not store your full payment card or bank account details.

6.3 Failed Payments

If your payment fails, your Order will not be confirmed. Any amount debited from your account during a failed transaction will typically be refunded by your bank or payment provider within 5–7 business days. Please contact your bank if the refund is not received within this period.

GST: All prices include applicable Goods and Services Tax (GST) as per Indian law. A GST-compliant invoice (where applicable) will be provided upon request.
Section 07

Delivery

7.1 Delivery Area

Delivery is available within a 6 km radius of the nearest operational Right Pay Shop store. You can check delivery availability by entering your pin code or allowing location access on our app.

7.2 Delivery Time

We endeavour to deliver Orders within the express time slot selected at checkout (standard: within 60 minutes from order confirmation). Actual delivery time may vary due to weather conditions, traffic, high order volumes or force majeure events. Delivery time estimates are indicative and not guaranteed.

7.3 Delivery Attempts

Our Rider will make reasonable attempts to complete delivery to the address provided. If delivery is unsuccessful due to the recipient being unavailable or an incorrect address, we will attempt to contact you. Undelivered Orders may be cancelled and refunded as per our Cancellation and Returns Policy (Section 8).

7.4 Risk of Loss

Risk of loss and title to Products pass to you upon delivery to the address specified in your Order. You are responsible for inspecting Products upon delivery and notifying us immediately of any damage or missing items.

Section 08

Cancellations & Returns Policy

8.1 Cancellations by User

  • Orders may be cancelled before dispatch by contacting our support team or through the app. No cancellation charges apply for pre-dispatch cancellations.
  • Once an Order has been dispatched, cancellation is not possible. Please refuse delivery if the product is damaged at the time of receipt.

8.2 Returns & Replacements

  • You may request a return or replacement within 24 hours of delivery for Products that are: (a) damaged, (b) defective, (c) expired or past their use-by date, or (d) substantially different from what was ordered.
  • Fresh produce, chilled/frozen items and packaged consumables that have been opened are not eligible for return unless they are defective or spoiled.
  • To initiate a return, contact us at support@rightpayshop.com or call +91 98753 69532 within the stipulated period.

8.3 Refunds

  • Approved refunds for online payments (UPI/wallet) will be processed within 5–7 business days to the original payment method.
  • COD order refunds will be issued as credits to your Platform wallet or via bank transfer within 5–7 business days.
Consumer Rights: Your statutory consumer rights under the Consumer Protection Act, 2019 are not affected by this Returns Policy.
Section 09

User Conduct & Prohibited Activities

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform for any fraudulent, unlawful or malicious purpose;
  • Attempt to gain unauthorised access to any part of our Platform, systems or data;
  • Introduce viruses, malware or other harmful code;
  • Use automated scripts, bots, or scraping tools to access our Platform without written authorisation;
  • Submit false or misleading information, including false delivery addresses or fraudulent payment details;
  • Place Orders with no genuine intention to receive or pay for them;
  • Engage in any conduct that disrupts, damages or interferes with the operation of the Platform;
  • Resell Products purchased through the Platform on a commercial scale without our written consent;
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • Harass, threaten or abuse our staff, Riders or Franchisees.
Violation of this section may result in immediate account suspension, reporting to law enforcement authorities, and legal action.
Section 10

Intellectual Property Rights

All Content on the Platform — including but not limited to the Right Pay Shop and Rightpay Express brand names, logos, trade dress, DHATRI trademark (Application #7509589, Trade Marks Registry, Kolkata), website design, software, text, images and databases — is the exclusive property of Shop Rightepay Corporation Limited or its licensors and is protected by Indian copyright, trademark and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for personal, non-commercial purposes only. You may not:

  • Copy, reproduce, distribute, modify or create derivative works of any Content without our express written permission;
  • Use our trademarks, logos or brand elements without prior written authorisation;
  • Reverse-engineer, decompile or disassemble any software forming part of the Platform;
  • Remove, alter or obscure any copyright, trademark or other proprietary notices.
Section 11

Third-Party Links & Services

Our Platform may contain links to third-party websites, applications and services (including payment gateways, social media platforms and Google Maps). These third-party services are not under our control and we are not responsible for their content, privacy practices or terms of use.

Your use of any third-party service is subject to that service's own terms and policies. We recommend that you review the terms and privacy policies of any third-party service before using it. We disclaim all liability for any loss or damage arising from your use of third-party services.

Section 12

Disclaimers & Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • Our Services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title or non-infringement.
  • We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
  • We do not warrant that the information provided on the Platform is accurate, complete or current. Product availability, pricing and specifications are subject to change without notice.
  • We are not liable for the acts or omissions of third-party payment processors, logistics providers or brand partners whose products are listed on the Platform.

Nothing in these Terms shall exclude or limit liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable Indian law.

Section 13

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Shop Rightepay Corporation Limited, its directors, employees, agents, licensors or partners be liable for:

  • Any indirect, incidental, special, consequential, punitive or exemplary damages;
  • Loss of revenue, profit, data, goodwill or business opportunity;
  • Damages arising from your inability to access or use the Services;
  • Damages arising from unauthorised access to your account due to your failure to safeguard credentials;
  • Any third-party conduct, content or services.

Where liability cannot be excluded, our total aggregate liability to you for all claims arising from or related to these Terms or the Services shall not exceed the greater of: (a) the total amount paid by you for the specific Order giving rise to the claim; or (b) INR 1,000 (Indian Rupees One Thousand), whichever is lower.

Section 14

Indemnification

You agree to indemnify, defend and hold harmless Shop Rightepay Corporation Limited, its directors, officers, employees, agents and franchisees from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use or misuse of the Platform or Services;
  • Your breach of any provision of these Terms;
  • Your violation of any applicable law or regulation;
  • Any content you submit, post or transmit through the Platform;
  • Any infringement of third-party rights caused by your actions.
Section 15

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, floods, earthquakes, epidemics or pandemics, civil unrest, government actions, labour disputes, power outages, internet or telecommunications failures, acts of terrorism, or any other event of force majeure.

In such circumstances, we will notify you as soon as reasonably practicable and take reasonable steps to resume performance of our obligations. If the force majeure event continues for more than 30 days, either party may terminate the affected transaction without liability.

Section 16

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

16.1 Amicable Resolution

In the event of any dispute, claim or controversy arising out of or relating to these Terms or the Services, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation. You may initiate this process by contacting our grievance officer at support@rightpayshop.com.

16.2 Grievance Officer

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020, we have designated a Grievance Officer to address user complaints. Grievances must be submitted in writing to support@rightpayshop.com. We shall acknowledge the grievance within 48 hours and resolve it within 30 days of receipt.

16.3 Jurisdiction

Subject to Section 16.1, any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts at Bardhaman, West Bengal, India.

Section 17

Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Last Updated" date displayed at the top of this page;
  • Post a notice on our Platform informing users of the changes;
  • Where changes materially affect your rights or obligations, send you a notification via email or in-app notification at least 7 days prior to the effective date (except where changes are required by law, in which case they may take immediate effect).

Your continued use of our Services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of our Services before the effective date of the changes.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us with respect to your use of our Services and supersede all prior agreements, representations, warranties and understandings.
